Bitcoin, Ethereum, & Blockchain Superconference II Attendee Terms of Service
These are the terms of service (the “Agreement”) governing your attendance at and participation in any Organizer event (the “Event”). By registering for the Event you agree to these terms, which form a binding legal contract between Speakeasy Marketing, Inc. (“Organizer”) and the registered attendee or participant (“you”). If you are registering on behalf of another individual, it is your responsibility to ensure the person attending is aware of these terms and accepts them. By completing the registration on behalf of another individual you are warranting that you have made that / those attendee(s) or participant(s) aware of these terms and that they have accepted these terms.
1. Attendee Requirements
1.1 Admittance: Your registration entitles you to admittance to the Event for which you have registered. All other costs associated with your attendance (including without limitation travel and accommodation expenses) shall be borne solely by you, and Organizer shall have no liability for such costs.
1.2 Use of Likeness: By attending the Event you acknowledge and agree to grant Organizer the right at the Event to record, film, photograph, or capture your likeness in any media now available or hereafter developed and to distribute, broadcast, use, or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to Organizer includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, the right to offer the media for sale to other attendees and the general public, and the right to allow others to use or disseminate the media.
1.3 Event Content: You acknowledge and agree that Organizer, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venue, and time.
1.4 Identification: All attendees must provide an acceptable form of identification: one government-issued photo ID, credit or debit card, passport, or other photo ID.
1.5 Attendee Badge Usage: Attendee badges must be worn at all times in Event areas.
1.6 Travel Visa Requirements: It is the sole responsibility of the attendee to take care of any government visa requirements. Attendees who require an entry visa should allow sufficient time for the application procedure. Attendees should contact their nearest embassy or consulate to determine the appropriate timing of their visa applications. Organizer will not contact embassies and consulates on behalf of visa applicants or provide any other assistance relating to visa issues. Failure to obtain a visa in advance of the Event does not constitute a valid basis for obtaining a refund.
2. Prohibited Conduct
2.1 Limitations on Use: By registering for an Event Pass, you agree not to sell, trade, transfer, or share your complimentary code or badge unless you have contacted Organizer and obtained Organizer’s permission to do so, in writing. If Organizer determines that you have violated this policy, Organizer may cancel your badge(s), retain any payments made by you, report you to law enforcement authorities, and ban you from future Events.
2.2 Disruptive Conduct: You acknowledge and agree that Organizer reserves the right to remove you from the Event if Organizer, in its sole discretion, determines that your presence or behavior create a disruption or hinder the Event or the enjoyment of the Event by other attendees, conference staff, speakers, sponsors, and/or exhibitors. All badges are the property of Organizer and must be returned to Organizer upon request.
2.3 Badge Misuse: Attendees wearing falsified badges and/or sharing or swapping badges will be immediately ejected from the Event and banned from future Events. Organizer considers such conduct theft of service, trespassing, and fraud and will report violators to law enforcement authorities. If such conduct is discovered after an Event, violators will be invoiced according to onsite registration pricing and will be required to pay their invoice in full in order to avoid being reported to law enforcement authorities.
2.4 Suitcasing: “Suitcasing” refers to the practice of attending a trade show but “working the aisles” from a suitcase or briefcase, soliciting business from other attendees and exhibitors. For the good of the show and the exhibitors supporting the show, the only legitimate place to conduct business during show hours is within a contracted exhibit space on the show floor. Exhibiting companies are encouraged to protect their investment and report any violations to Organizer management. Attendees observed soliciting business in the aisles or other public spaces, or in another company’s booth, will be ejected from the Event and may be banned from future events in Organizer’s sole discretion.
2.5 Photography, Recording, Live Streaming, and Videotaping: Attendees may not record or broadcast audio or video of sessions at Organizer Events. Organizer allows cameras on the show floor. Attendees may take pictures within the show for purposes of company or annual reports, company media pieces, marketing materials, etc.
2.6 Unethical/Non-Compliant Marketing: Organizer reserves the right to deny admission to anyone who engages in or is reputed to engage in unethical or non-compliant marketing practices.
2.7 No Disparagement: Attendee agrees not to tortiously interfere, disparage, defame, slander, extort, blackmail, commit larceny or contemplate same against Organizer & any associates, employees, agents, shareholders, assigns or contractors of Organizer, or against attendees, speakers, sponsors, or any other parties associated with the event. Attendee understands that some of the offenses listed in this paragraph may incur the potential for civil or criminal prosecution. Attendee further agrees not to use any form of media to disparage, defame, slander, extort, blackmail, commit larceny or contemplate same, including contacting speakers, attendees, exhibitors, other sponsors, or anyone associated with the Event. Attendee agrees not to use television, radio, direct mail, phone, fax, email, public statements, social media, or media of any kind to commit these offenses.
2.8 In addition to the requirements and prohibitions set forth in this Section 2, Organizer may also exclude any prospective attendee from registering for or attending the Event, in Organizer’s sole discretion. Furthermore, Organizer reserves the right to cancel, in its sole discretion, any attendee’s registration upon refund of the admission fees paid to Organizer; provided, however, that if an attendee is cancelled for violating any prohibition or requirement set forth in this Section 2, Organizer may retain all fees paid.
3.1 Payment: The payment of the applicable fees for the Event is due upon registration. If such payment is insufficient or declined for any reason Organizer may refuse to admit you to the Event and shall have no liability in that regard.
3.2 Taxes: The fees may be subject sales tax, value added tax, or other taxes and duties which, if applicable, will be charged to you in addition to the fees.
3.2 Payment Method: Fees may be paid in fiat (US dollar) or in Bitcoin or Ethereum.
4. Cancellation, Cancellation Insurance, Chargebacks, Substitution, and Lost Badge Policy
4.1 Cancellation of Registration: All cancellations and requests for refunds MUST be submitted within the deadlines listed within this agreement. To be eligible for a refund, you must ask for a refund in writing by August 1st, 2018. After this date no refunds will be issued for any reason. Refunds after August 1st, 2018 may be given at the sole discretion of Organizer.
Telephone, requests, email requests (without acknowledgement of email received) WILL NOT be honored. Send cancellation email to: email@example.com using the subject line: Attendee Pass Refund Request.
4.2 No Chargebacks: Attendee agrees not to file a chargeback against Organizer’s merchant account for ANY reason, including: “product or service not provided as agreed”, “fraud”, inability to attend the event, or any other reason. The only case where a chargeback is allowed is if it has been agreed to, in writing, by the Event Organizer. If an attendee files a chargeback against Organizer’s merchant, Attendee agrees to rescind the chargeback and to pay a chargeback handling fee of $100.
4.3 Badge / Attendee Substitution: Attendee may request that Organizer substitute their registration and attendance with someone else. All substitution requests must be made, in writing, on or before September 5th, 2018 and may be honored or refused at the sole discretion of Organizer. Substitutions do not incur a charge, unless the level of registration changes (such as a standard attendee ticket being upgraded to a VIP ticket).
4.4 Lost Badge Policy: If attendee loses their badge during the Event, attendee may purchase an additional badge for $10.00 from Organizer, by presenting themselves to the main registration desk and showing proper identification. If attendee loses their badge a second time, they will be denied access to the Event.
5. Indemnity, Limitation of Liability, Governing Law
5.1. INDEMNITIES AND LIMITATION OF LIABILITY
Neither Organizer nor its shareholders, officers, directors, employees, agents, independent contractors or representatives shall be responsible for any injury, loss, or damage that may occur to Attendee or to Attendee’s agents, employees, affiliated personnel, officers, directors, shareholders, contractors or representatives or any of their property, businesses, or other activities from any cause whatsoever, prior to, during, or after the Event. By signing the Agreement, Attendee assumes all such risk and expressly releases, and agrees to indemnify, defend and hold harmless, Organizer and its shareholders, officers, directors, employees, agents, independent contractors and representatives from all claims for such loss, injury, or damages. Furthermore, Attendee releases and discharges Organizer and its shareholders, officers, directors, employees, agents, independent contractors and representatives from all liabilities arising out of, or in any way related to, the selection, rejection, or removal of Attendee to or from the Event and enforcement of the Agreement. Attendee also hereby agrees to indemnify, defend and hold harmless Organizer and its shareholders, officers, directors, employees, agents, independent contractors and representatives, from and against any and all losses, damages, suits, claims, causes of action, liabilities, expenses, costs and attorneys’ fees incurred, arising out of, resulting from Attendee’s infringement of the intellectual property rights of any third party, or any of its agents, employees, affiliated personnel, officers, directors, shareholders, contractors or representatives, in distributing, selling, or offering to distribute or sell any product or service, in allowing any person to test any product or service, or in offering sample use of any product or service, whether occurring prior to, during or after the Event.
5.2 OBSERVANCE OF LAWS
Each party shall abide by and observe all applicable laws, rules and regulations, and ordinances of any applicable government authority and all rules of the facility.
5.3 AGREEMENT TO TERMS, CONDITIONS, AND RULES
The Attendee agrees to observe and abide by the foregoing terms, conditions, and rules, and by such additional terms, conditions, and rules established by Organizer from time to time for the efficient and safe operation of the Event, including, but not limited to, those contained in this Agreement. There is no other agreement or warranty between the Attendee and Organizer except as set forth in this document and any addenda/exhibits hereto. The headings used in this Agreement are for organizational purposes only and are not to be used in the interpretation of the substance of this Agreement. The rights of Organizer under this Agreement shall not be deemed waived except as specifically stated in writing and signed by an authorized representative of Organizer.
This Agreement is governed by the laws of the State of New York without reference to any conflict of laws principles that would require the application of the laws of any other jurisdiction. Attendee irrevocably consents to the personal jurisdiction of the state and federal courts located in New York City and Long Island, New York. Each party hereto hereby waives, to the fullest extent permitted by applicable law, any right it may have to a trial by jury in any legal proceeding directly or indirectly arising out of or relating to this Agreement. Furthermore, by signing this agreement, all parties agree to settle any disputes through binding arbitration offered by JAMS ADR (Judicial Arbitration and Mediation Service Alternative Dispute Resolution Services), at their New York, NY location. If any term and/or condition herein is deemed to violate any applicable federal, state, or local laws and/or found to be unenforceable, the remaining terms of the agreement shall remain in full force and effect.
